Constitution

Article 1:

1. NAME AND LEGAL PERSONALITY

1.1 The effective date of this Constitution shall be midnight on the 31st December 2004.

1.2 CYCLING SOUTH AFRICA is a voluntary Association at common law having a separate legal persona with perpetual succession and is the same legal persona as that formerly known as The South African Cycling Federation. Accordingly, CYCLING SOUTH AFRICA holds the same rights and is liable for the same obligations as The South African Cycling Federation. This voluntary Association will, in future, be known as CYCLING SOUTH AFRICA although it will continue to hold as part of its intellectual property, the name "South African Cycling Federation" and no other legal entity shall be entitled to the use of such name without the prior written consent of CYCLING SOUTH AFRICA.

1.3 CYCLING SOUTH AFRICA shall be capable of owning both movable and immovable property in its own name and shall have the right to institute legal proceedings and to defend legal proceedings in its own name.

1.4 CYCLING SOUTH AFRICA is a sporting Association, the income and property of which shall be applied solely towards the promotion of the vision, mission and objectives of the Association as set forth in this Constitution and no portion thereof shall be alienated, disposed of, paid over or transferred, directly or indirectly, to any members of the Association other than payments made in good faith as honoraria or as remuneration for services actually rendered to the Association.

1.5The Association shall be entitled to use an abbreviated form of its name where appropriate, including the letters "CSA".

Article 2:

2. VISION, MISSION AND OBJECTIVES

2.1 The Association has as its vision, mission and objectives, the promotion, growth, development and for these purposes, the control, of cycling in all its forms, including but not limited to:

  • 2.1.1 competitive road racing and time trials;
  • 2.1.2 recreational road cycling, including the UCI concept of "Cycling for All"
  • 2.1.3 track cycling;
  • 2.1.4 competitive off-road cycling including cross country mountain biking and downhill mountain biking;
  • 2.1.5 recreational off-road cycling including cross country mountain biking and downhill mountain biking;
  • 2.1.6 every kind of BMX cycling;
  • 2.1.7 commuting;
  • 2.1.8 touring.

2.2 CYCLING SOUTH AFRICA is a sporting Association whose surplus income shall be utilised solely for the carrying out of its vision, mission and objectives. It is the sovereign body representing and controlling cycling within the Republic of South Africa whose objectives are to be and remain:

  • 2.2.1 recognised by the Republic of South Africa as the controlling body for cycling within the Republic of South Africa; and
  • 2.2.2 affiliated to the World controlling body of cycling, namely the UCI; and
  • 2.2.3 to have affiliated to CYCLING SOUTH AFRICA, all domestic, regional cycling bodies and associations of whatever kind;
  • 2.2.4 to remain vested with the sole right to select individuals and teams to represent the Republic of South Africa internationally including but not limited to at World Championships and at Olympic Games and to award National Colours;
  • 2.2.5 to achieve the objectives specified in more detail in Article 7.8 of this Constitution.

Article 3:

3. CAPACITY AND POWERS

CYCLING SOUTH AFRICA shall have full capacity, power and authority to carry out its vision, mission and objectives. These powers and the responsibilities that go with them, shall be exercised by:

3.1 Congress which is the supreme organ of the Association whose functions are to set policy; elect Office Bearers and members of other organs of the Association and oversee their functions and carry out functions stipulated elsewhere in this Constitution;

3.2 the Board of Trustees whose function is to carry out the policies of Congress; manage, direct, administer and control the Association and generally have the powers of a Board of Directors of a private company;

3.3 the Commissions consisting of: Road; Track; MTB; BMX; Recreation; Development together with such other Commissions as Congress may from time to time appoint and these Commissions shall be responsible for administering their respective portfolios nationwide and accountable to the Board of Trustees in the first instance;

3.4 such Secondary Commissions including but not limited to technical; regulatory and legal matters, as Congress itself may appoint alternatively as Congress may empower the Trustees to appoint.

Article 4:

4.OFFICE BEARERS

4.1 CYCLING SOUTH AFRICA shall elect the following Office Bearers:

  • 4.1.1A President;
  • 4.1.2A Vice-President;
  • 4.1.3A Financial Trustee;

4.1.4 A Board of Trustees consisting of:

  • 4.1.4.1 President;
  • 4.1.4.2 Vice-President;
  • 4.1.4.3 Financial Trustee;
  • 4.1.4.4 either one or two additional Trustees should Congress so elect;

4.1.4.5 Six Trustees being the Chairpersons of the following National Commissions:

  • Road Commission
  • Track Commission
  • MTB Commission
  • BMX Commission
  • Recreational Commission
  • Development Commission

it being recorded that, with the approval of Congress, such Chairpersons may carry the title "Directors" or such other title as Congress may approve, from time to time.

4.2 The affiliates and/or the Board of Trustees nominate individuals for President; Vice-President; Financial Trustee; the additional Trustees referred to in 4.1.4.4 and the Chairpersons of the Commissions.

4.3 Office Bearers and Trustees shall hold office for 2 (Two) years after which they shall stand down but be available for re-election for subsequent terms. Should an Office Bearer become unavailable to hold office during his term for any reason then the remaining Office Bearers shall appoint a substitute from written nominations which the Trustees shall obtain from the affiliates.

4.4 Neither the President nor the Vice President may, at the same time, be a Chairperson of a Commission although he may be a Commissioner. If a Chairperson of a Commission were to be elected as President or Vice President, then he would have to resign as Chairperson.

Article 5:

5.MEMBERSHIP

5.1 Membership of CYCLING SOUTH AFRICA shall be subject to the following:

  • 5.1.1Membership shall be open only to artificial legal persona and a member must have cycling as one of its primary objectives;

5.1.2 No new members over and above those existing at the effective date shall be admitted save with the approval of Congress by resolution passed with not less than a two-thirds majority of votes cast at the meeting, of which due notice of such resolution has been given to all members.

5.2 Members shall, by agreement with the Association, to be recorded in the case of existing members, as soon as possible after this Constitution becomes effective and in the case of subsequent members, on their admission as members, be officially characterised as one of the following alternatives, taking into account the preference of the majority of the individuals or clubs making up the member concerned:

  • 5.2.1 competitive road and track racing;
  • 5.2.2 recreational which shall be deemed to include commuting and touring and both recreational off-road and on-road cycling;
  • 5.2.3 MTB which shall consist of competitive off-road cycling;
  • 5.2.4 BMX consisting of all forms of BMX cycling;
  • 5.2.5 other - as resolved by Congress from time to time.

Article 6:

6. CONGRESS

6.1 Members in meeting shall be known as "a Congress". The supreme organ of CYCLING SOUTH AFRICA shall be its Congresses each of which shall function in similar fashion to shareholders' meetings of a private company.

6.2 A compulsory Congress shall be held annually before the end of April each year and shall be known as "The Statutory Congress". The precise date and venue of The Statutory Congress shall be decided by the Trustees on not less than 30 (Thirty) days' written notice to the members. Any number of non-statutory Congresses may be held during the year but only as expressly provided for elsewhere in this Constitution.

6.3 Only the following parties may be present at a Congress:

  • 6.3.1 Members' delegates as provided for in 6.4 below;
  • 6.3.2 the President;
  • 6.3.3 the Vice-President;
  • 6.3.4 the Financial Trustee;
  • 6.3.5 the Trustees of the Board
  • 6.3.6 Commissioners of the National Commissions;
  • 6.3.7 the Chief Executive Officer;
  • 6.3.8 any other officials, delegates, members, guests invited by the Trustees.

6.4 Only members of the Association shall have voting rights at a Congress. Each member shall be represented by a delegate appointed by that member save that 2 (Two) or more members may jointly appoint a single delegate to exercise their respective votes on their behalf. Voting rights of members shall be as follows:

  • 6.4.1 each member shall have voting rights in respect of the cyclists it represents, calculated in the manner set out in 6.4.2 below and for this purpose each member shall be deemed to represent both cyclists who are actually members of the member concerned and cyclists who are members of a cycling or other club affiliated to the member concerned;
  • 6.4.2 a cyclist who is a member of two or more members of CYCLING SOUTH AFRICA either directly or indirectly through one or more cycling clubs, shall be represented for voting purposes, by the member in whose area of jurisdiction he is normally or mostly resident, provided that where the jurisdiction of 2 (TWO) members overlap geographically, then he shall be represented by the member which he first joined, unless in this latter case, he on 30 (Thirty) days' written notice to both CYCLING SOUTH AFRICA and the members concerned, nominates one of these members to represent him, a choice which he may exercise at any time, and from time to time.

For these purposes it is noted, by way of example, that for the purposes of Article 11.6 below, the respective jurisdictions of PPA and GPPA each overlap with other members of CYCLING SOUTH AFRICA in light of the fact that the jurisdictions of PPA and GPPA each extend to the borders of their respective Provinces for the purposes and objectives envisaged in Article 11.6, whereas other members of CYCLING SOUTH AFRICA, also have jurisdiction within these respective Provinces, for their own objectives and purposes.

6.4.3 the voting rights of members shall be calculated and limited as follows:

  • 6.4.3.12 (TWO) votes per 50 (FIFTY) fully licensed cyclists and 1 (ONE) vote for any lesser number of fully licensed cyclists, up to a maximum of 10 (TEN) votes;
  • 6.4.3.21 ONE) vote per 50 (FIFTY) cyclists with Cyclo Sport licences or part thereof, up to a maximum of 5 (FIVE) votes;
  • 6.4.3.31 (ONE) vote per 400 (FOUR HUNDRED) recreational cyclists or part thereof up to a maximum of 15 (FIFTEEN) votes;

in all of the aforegoing cases the cyclists must be fully paid-up individuals of the member concerned either directly or indirectly through a club affiliated to the member concerned.

6.5 Each and every vote of members of the Association shall carry the same weight and may be exercised in respect of any and every proposed resolution or other matter brought before Congress, save in respect of the election of Commissions in terms of Article 8.4.2 below. A resolution or decision of Congress shall be passed by simple majority of votes cast at the meeting, unless otherwise stated elsewhere in this Constitution.

6.6 A quorum for a Congress shall be half of the members of the Association save that should a Congress not be quorate for any reason, then the meeting shall stand adjourned for 7 (Seven) days at the same time and place whereafter it shall continue without a quorum, if necessary.

6.7 Whilst no other parties present at a Congress except members may vote thereat, they may take part in its deliberations.

6.8 Congresses shall be convened in the manner set forth in clause 15 below.

6.9 The Agenda for Statutory Congresses shall be:

  • 6.9.1amendments to its Constitution, internal regulations and its rules and regulations controlling the sport;
  • 6.9.2 every second year, the election of Office Bearers; the Board of Trustees and Commissioners (including Chairpersons and Selectors) which in that year shall be the final order of business of the Congress concerned;
  • 6.9.3 the President's Annual Report;
  • 6.9.4 the Financial Trustee's Annual Report and ratification of the financial statements of the Association;
  • 6.9.5 policy matters;
  • 6.9.6the passing of resolutions concerning the activities of the Board of Trustees, of which notice has been given;
  • 6.9.7 the acceptance of new members;
  • 6.9.8 the appointment of delegates to other bodies;
  • 6.9.9 the tabling of the Board's business plan and budget for the Association and its Commissions;
  • 6.9.10 appointment of auditors;
  • 6.9.11 matters concerning affiliates;
  • 6.9.12 the approval of nominations for Honours for service;
  • 6.9.13 deciding the venue/s of the National Track and Road Championships for the forthcoming year;
  • 6.9.14 any other business of which notice has been given.

6.10 The Agenda for any non-Statutory Congress shall be those items of which due notice has been given to the members and no other business.

Article 7:

7. BOARD OF TRUSTEES

7.1 It shall be the responsibility of the Board of Trustees to direct, manage, administer and control the affairs of CYCLING SOUTH AFRICA and the Board shall have full power and authority to carry out its responsibilities subject only to the express resolutions of congress to the contrary and any limitations expressly contained elsewhere in this Constitution, it being the intention that the Board of Trustees will function in much the same way as a Board of Directors of a private company.

7.2 The following shall be Trustees of the Board:

  • 7.2.1 the President ex-officio;
  • 7.2.2 the Vice-President ex officio;
  • 7.2.3 the Financial Trustee ex officio;
  • 7.2.4 those Trustees elected by Congress pursuant to 4.1.4 above, including the Chairpersons of the Commissions and the additional Trustees in terms of 4.1.4.4, if any.

7.3The Board shall have the power to delegate some of its functions to individual Trustees or to sub-Committees of Trustees and/or to the Chief Executive Officer (reference 7.8.17) in Committee with one or more Trustees, from time to time, as it deems fit. A Chairperson of a Commission thereby assumes responsibility for the affairs of the Commission he chairs but remains accountable to the Board and subject to its overall control.

7.4A quorum for Trustees' meetings shall be half of the Trustees. Voting shall be by way of a show of hands and each Trustee shall have 1 (One) vote.

7.5 The President shall chair all Board meetings or failing him the Vice-President

7.6 The Financial Trustee shall be responsible for convening meetings of the Board on not less than 21 (Twenty-One) days' written notice to all Trustees save in cases of urgency in which event meetings may be held on shorter notice as required.

Where all Trustees agree, meetings may be held informally and by round robin and resolutions passed in this way shall be binding.

7.7 The Trustees may delegate the responsibility of preparing the Agenda to the Chief Executive Officer in consultation with the President and other Trustees and in this event the Chief Executive Officer shall be responsible for causing Minutes of the meeting to be kept and timeously circulated to all Trustees.

7.8 In carrying out its functions, the Board shall have the role and responsibility of:

  • 7.8.1 preparing an annual business plan consistent with the vision, mission and objectives of this Constitution and applicable policy guidelines and instructions, if any, set by Congress;
  • 7.8.2 preparing and implementing an annual income and expenses budget for the Association as a whole;
  • 7.8.3 assisting the Commissions in the preparation of their annual business plans and budgets, overseeing their implementation and generally monitoring and controlling the affairs of the Commissions (both National Commissions and Secondary Commissions);
  • 7.8.4 obtaining additional sources of income for CYCLING SOUTH AFRICA through national and other sponsorships and generally raising funds as deemed fit or as instructed by Congress;
  • 7.8.5 where desirable, developing events for the Association on its own or in partnership with others and if deemed fit, obtaining equity stakes therein;
  • 7.8.6 where desirable, developing appropriate means of communication with cyclists and the public generally so as further to promote CYCLING SOUTH AFRICA and cycling generally through all mediums including on the Internet; in writing through newsletters or magazines; on radio and television on its own or in partnership with others and obtaining equity stakes in such ventures;
  • 7.8.7 developing the infrastructure of cycling nationwide but at the same time respecting the reasonable autonomy of the affiliates;
  • 7.8.8 liaising with State Departments and other organs of Government; para-statals and international cycling bodies including the UCI, NOCSA and other national bodies;
  • 7.8.9 concluding contracts with any third parties whatsoever and binding the credit of CYCLING SOUTH AFRICA;
  • 7.8.10 instituting or defending legal proceedings in the name of CYCLING SOUTH AFRICA;
  • 7.8.11 generally all such acts and deeds as are reasonable in order to carry out the vision, mission and objectives of this Constitution;
  • 7.8.12 liaising with the affiliates;
  • 7.8.13 carrying out any task specifically assigned to it, by Congress;
  • 7.8.14 licensing cyclists and setting fees for licences; sponsorships and events;
  • 7.8.15 controlling the design, form and award of the national championship jerseys; the Association's colours and other intellectual property belonging to it;
  • 7.8.16 disciplining affiliates and cyclists through sub-Committees which may consist of Trustees and non-Trustees;
  • 7.8.17 employing staff, consultants and others and terminating their services upon such terms as the Trustees deem fit and in particular appointing a Chief Executive for the Association on such terms as it deems fit; terminating his services and replacing him from time to time as required, it being the intention that the Chief Executive shall have the powers delegated to him by the Board of Trustees from time to time (to enable the Chief Executive to carry out the responsibilities normally assigned to someone in that position provided that nothing herein contained shall be construed as obliging the Trustees to empower the Chief Executive in this manner) and further that:
    • 7.8.17.1the Chief Executive may unless resolved otherwise by the Board, sit in on Board meetings but under no circumstances shall the Chief Executive have a vote;
    • 7.8.17.2the Board may appoint either the President; the Vice-President or the Treasurer to liaise on a day-to-day basis with the Chief Executive for the purposes of overseeing his functions and conveying the Board's instructions to him;
  • 7.8.17 if deemed appropriate and subject to any instruction from Congress, appointing a Marketing Manager for the Association either on an outsource basis or as an employee of the Association upon such terms as the Board deems fit and terminating the Marketing Manager's services and replacing same from time to time as it deems fit.

Article 8:

8. COMMISSIONS

8.1 There shall be 6 (Six) Commissions constituting subsidiary organs of the Association whose objectives and powers are set out hereafter but always subject to the overall direction, control and supervision of the Board of Trustees to whom the Commissions shall, in the first instance, (Commissions shall always be subject to any resolution of Congress which does not conflict with the express provisions of this Constitution) be accountable.

8.2 The Commissions shall be constituted as follows:

  • 8.2.1 Track Commission responsible for track racing;
  • 8.2.2 Road Commission responsible for competitive road racing;
  • 8.2.3 Recreational Commission responsible for recreational cycling both on road and off-road as well as commuting and touring;
  • 8.2.4 MTB Commission responsible for competitive off-road cycling;
  • 8.2.5 BMX Commission responsible for all forms of BMX cycling;
  • 8.2.6 Development Commission responsible for the overall development of cycling within the Republic.

8.3 Each Commission shall consist of a Chairperson and 3 (Three) additional Commissioners, one of whom shall preferably be a member of a previously disadvantaged community within the Republic of South Africa. Commissioners may serve on not more than 2 (Two) Commissions at the same time and no-one may be a Chairperson of more than 1 (One) Commission at the same time.

  • 8.4.1 Nominees for Commissioners and for Chairpersons of Commissions may be made by the members of CYCLING SOUTH AFRICA and/or by resolution of the Board of Trustees. Commissioners and their Chairpersons shall be elected at statutory Congress and shall hold office for 2 (Two) years whereafter they shall stand down but be eligible for re-election, save that the Commission Chairperson for the Recreation Commission shall be a Pedal Power nominee until the statutory Congress 2008.
  • 8.4.2 Commission Chairpersons and Commissioners of the various Commissions shall be elected only by those members who, in terms of Article 5.2 above, correspond with the Commission concerned so that:
    • the Track Commission shall be elected by Road and Track members
    • the Road Commission shall be elected by Road and Track members
    • the Recreational Commission shall be elected by Recreational members
    • the MTB Commission shall be elected by MTB members
    • the BMX Commission shall be elected by BMX members
  • the Development Commission shall be elected by all members of CYCLING SOUTH AFRICA. As and when additional Commissions are appointed, Congress shall, at the same time, determine which members may elect them at Congresses.

8.5A quorum for any Commission meeting shall be any 3 (Three) Commissioners.

  • 8.6.1 A Statutory Commissioners' Congress shall be held annually in the 3 (Three) days immediately preceeding the Statutory Congress, for the purposes of enabling Commissioners to discuss common affairs and to facilitate and co-ordinate their respective portfolios. A Commissioners' Congress shall be chaired by the elected Chairperson and appointed by the Board of Trustees and its resolutions may be implemented by the Commissions with the approval of the Board of Trustees.
  • 8.6.2 Commissions shall each set their own procedures regarding the notice and convening of Commission meetings, setting of agendas and like matters and it shall be the role and responsibility of the Chairperson of each Committee to ensure that these procedures are in place and are adhered to and that meetings are held at least quarterly. Minutes of all Commission meetings shall be kept and copied to the Board of Trustees.

8.7 Each Commission shall have the role and responsibility of administering their aspect of the sport (e.g. road) on a national basis subject to the instruction and direction of the Board of Trustees. In so doing each Commission shall:

  • 8.7.1 carry out the duties assigned elsewhere to the relevant Commission in this Constitution;
  • 8.7.2 not have control of any finances nor the power to bind the Association in contract or otherwise or incur any obligations on behalf of the Association save with the prior written consent of the Board of Trustees, it being envisaged that the Board may approve a limited income and expenses budget for a Commission; allocate funding to a Commission and empower a Commission to open a separate banking account in the name of such Commission for the purposes of holding such funds and withdrawing same from time to time as and when required but no overdraft or other borrowing authority or powers shall be permitted;
  • 8.7.3 have full powers to give any reasonable instruction in respect of its discipline (for example, competitive road racing) to any affiliate which is involved with that discipline (for example, competitive road racing) notwithstanding that the affiliate may or may not be a member characterised as a road and track member, recreational member, MTB member or otherwise save only that no such instruction shall override any rights vested elsewhere in this Constitution in any member of CYCLING SOUTH AFRICA.

8.8 Cyclists falling under the authority of a Commission requiring selection for national or international competitions shall be selected by the 3 (Three) Selectors elected from among the Commissioners of the relevant discipline at statutory congress who shall hold office as Selectors for 2 (Two) years whereafter they shall stand down but will be eligible for re-election for further terms. When electing the Selectors, Congress shall, at the same time, elect a Convenor thereof, from among their number.

8.9 Selectors report to their relevant Commission which in turn reports to the Board of Trustees. Selectors shall, if requested by their relevant Commissions, set objective qualification criteria for the basis of selection and shall, if required by their Commission, provide written reasons for any selections. Expenses reasonably incurred by selectors in the execution of their duties, may, at the discretion of the Board of Trustees, be paid from commission funds at the discretion of the Board of Trustees.

8.10 The Board shall elect administration officers for teams including, for example, a delegate; manager; masseur and mechanic in consultation with the Commission, the costs thereof to be paid out of Commission funds or such other funds of the Association as the Board of Trustees may stipulate from time to time.

8.11 All disputes between Commissions in respect of their jurisdictions shall be resolved by the Board of Trustees or any sub-Committee appointed by the Board for this purpose.

Article 9:

9. FINANCIAL PROCEDURES AND ADMINISTRATION

9.1 The Association shall maintain a current account with a recognised financial institution into which all income and other funds of the Association shall be deposited forthwith as and when received.

9.2 The Association shall maintain a call account with its said bankers into which monies from the said current account may be deposited from time to time.

9.3 All withdrawals, transfers of monies and the issue of cheques shall be authorised only as follows:

  • 9.3.1 either the Chief Executive or the Financial Trustee may sign cheques or other instruments of transfer up to a maximum limit set by the Board of Trustees from time to time;
  • 9.3.2 cheques or other instruments of transfer in excess of the said maximum limit shall require the signature of:
    • 9.3.2.1the President or Vice-President; and
    • 9.3.2.2the Financial Trustee or Chief Executive
    • 9.3.3all loans; overdraft facilities shall require 2 (Two) signatures as in 9.3.2 above;
    • 9.3.4 all contracts and Powers of Attorney which are required to be in writing and signed other than contracts of a minor nature shall require the signature of the President and Financial Trustee or any other 2 (Two) parties whom the Board of Trustees may in writing appoint provided that one or whom shall always be a Trustee;
    • 9.3.5 all books of account and financial records of whatsoever nature or kind, stored electronically or otherwise, shall be available for inspection by any Office Bearer (which includes a Trustee) at any time, during business hours, on reasonable notice.

Article 10:

10. BUDGETS AND MANAGEMENT ACCOUNTS

10.1 The Trustees shall cause quarterly management accounts to be tabled at quarterly Board meetings which represent a fair reflection of income and expenses received and accrued to date. It shall be the role and responsibility of the President and Financial Trustee to cause same to be drafted.

10.2 The Trustees shall cause annual financial statements including a balance sheet and an income and expenses statement to be drafted and audited by the Association's auditors in accordance with generally accepted accounting principles for approval by the Board and signature by the President and Financial Trustee and thereafter tabled at a Statutory Congress and included in the Financial Trustee's annual report to the Statutory Congress.

10.3 Any person including Trustees, Commissioners, Selectors, Officials, employees or other agents who incur expenses in the course and scope of carrying out any activities on behalf of CYCLING SOUTH AFRICA may be re-imbursed in respect of those expenses, at the discretion of the Board of Trustees or such other persons to whom the Board may delegate this function.

Article 11:

11. AFFILIATES

11.1 All members of the Association shall be entitled and obliged to be affiliates thereof. Affiliation shall also be open to such other legal persona (other than natural persons) as the Board may from time to time resolve.

11.2 All applications for membership and/or affiliation must be in writing and addressed to the Association and a certified copy of the Constitution of the proposed member and/or affiliate must accompany the application which may be in such form as the Board may from time to time prescribe. The words "member" and "Affiliate" shall bear the same meaning in this Constitution, unless the context clearly indicates otherwise.

  • 11.3.1 Applications for membership may be accepted or rejected at a statutory Congress in its sole discretion without giving any reasons or subject to such conditions as the statutory Congress may provide. Members may only be admitted in terms of Article 5.
  • 11.3.2 Applications for affiliation may be accepted or rejected by the Board which may accept or reject any application in its sole discretion and without giving any reasons and subject to such terms and conditions as the Board may stipulate.

11.4 Affiliates shall be accepted with jurisdiction in respect of a defined geographical area within the Republic of South Africa which area may be amended from time to time by congress on a two thirds majority save however that Pedal Power Association and Gauteng Pedal Power Association shall at all times be entitled to jurisdiction in respect of the geographical areas in which they operated immediately prior to the effective date in respect of the carrying out of their business: setting and operating of their domestic fun ride calendars and all recreational tours; fun rides and league races, these bodies being entitled to operate in the same way as they operated immediately prior to the effective date of this Constitution in the above regards.

11.5 Pedal Power Association shall have the responsibility of setting up the Recreational Commission in consultation with existing recreational bodies operating elsewhere in the Republic of South Africa. The Recreational Commission shall be chaired by a nominee of Pedal Power Association for the period ending 2008.

11.6.1 Notwithstanding anything to the contrary contained elsewhere in this Constitution, but subject only to the provisions of 11.6.2 below, PPA and GPPA shall, in perpetuity, have the right to:

  • 11.6.1.1 register as their members individuals regardless of their area of domicile within or outside of the Republic;
  • 11.6.1.2 have free and unfettered ownership and control of their own assets and income and be solely liable for their obligations;
  • 11.6.1.3 continue to carry out their business; set and operate their domestic fun ride calendars and generally operate and control all their recreation tours; fun rides and league races within their geographical jurisdiction (after consultation with the Road Commission and MTB Commission).

11.6.2Inasmuch as CYCLING SOUTH AFRICA is willing to allow Pedal Power Association and Gauteng Pedal Power Association the autonomy rights contained in 11.6.1 by reason of their success in developing recreational cycling and competitive racing in terms of successful models whereby these aspects of the sport are combined, particularly in mass participation events, should PPA and/or GPPA for any reason discontinue this even-handed approach by, for example, contracting its racing calendar, abandoning league events or taking any other steps which in the reasonable opinion of CYCLING SOUTH AFRICA constitutes unfair discrimination against competitive racing in favour of recreational cycling including fun rides in the Western Cape, then PPA's and/or GPPA's autonomy in respect of competitive racing shall, at the instance of CYCLING SOUTH AFRICA, terminate and to this extent PPA and/or GPPA as the case may be, shall fall under the instruction of CYCLING SOUTH AFRICA through its Board of Trustees and appropriate National Commissions. In all other respects however PPA's and/or GPPA's autonomy shall continue in the manner aforestated.

  • 11.7.1 Until the Statutory Congress in 2008, PPA and/or GPPA shall be entitled under this Constitution to dis‑affiliate from CYCLING SOUTH AFRICA at any time, should its own Constitution allow for dis‑affiliation. PPA shall prior to the expiration of the said period, in terms of its existing Constitution, by Special Resolution of its members, resolve whether or not it shall be permanently affiliated to CYCLING SOUTH AFRICA. An affiliate which ceases to be an affiliate of CYCLING SOUTH AFRICA shall at the same time terminate its membership of CYCLING SOUTH AFRICA.
  • 11.7.2 CYCLING SOUTH AFRICA shall be entitled to call upon all of its affiliates save Pedal Power Association and Gauteng Pedal Power Association to amend their respective Constitutions as expressly provided for by resolution of any Statutory Congress passed with a two thirds majority.
  • 11.7.3It is recorded and agreed that the current Constitutions of PPA and GPPA existing on the effective date, do not conflict with the provisions of this Constitution. Both PPA and GPPA respectively, undertake not to make any amendments to their respective Constitutions which will conflict with any of their respective obligations in terms of this Constitution.

Article 12:

12.LEGAL MATTERS

12.1The rights and obligations of CYCLING SOUTH AFRICA, its members and its affiliates inter se and the interpretation, validity and enforceability of this Constitution shall be subject to the Constitution of the Republic of South Africa and all other laws of the Republic of South Africa, prevailing from time to time.

12.2 Subject to a party's constitutional rights of review, all disputes arising out of or in connection with the enforceability of this Constitution, its application and interpretation, shall be resolved by domestic remedies and be referred to the Arbitration Foundation of South Africa or failing it to arbitration in terms of The Arbitration Act, for resolution through mediation or arbitration in terms of the rules and procedures for the resolution of disputes in sports prevailing at the time, such dispute is so referred.

To this extent all members, affiliates, Trustees, Commissioners, Office Bearers, Officials and individuals including all cyclists, waive their rights to the jurisdiction of any Courts of law and agree that resolution in terms of the aforegoing shall be final and binding on the parties to the dispute.

12.3 No Office Bearer, Trustee or Commissioner or any other person acting in terms of this Constitution shall be liable to the Association or to any member or affiliate or to any other party whatsoever for any act or omission occasioned by himself, by the Association or by its servants, agents or employees for any loss or damage suffered by any party provided that the Office Bearer, Trustee or Commissioner or other person concerned, had upon the basis of information known to him or her, or which reasonably should have been known to him or her, acted in good faith and without gross negligence and the Association hereby indemnifies and holds all of the aforesaid persons harmless against any claims arising under these circumstances.

12.4 The Laws of the Republic of South Africa shall apply to this Constitution.

Article 13:

13.AMENDMENTS AND DISSOLUTION

13.1 This Constitution may be amended or altered only by a Resolution passed by at least a 75% (Seventy-Five percent) majority of all votes of all affiliates of the Association, at a duly constituted Congress of Affiliates and provided that notice of the proposed amendment or alteration has been duly given in terms of the notice calling the meeting and provided further that no amendment or alteration.

  • 13.1.1 to Article 11.6 and 11.7.1 shall be of any force or effect unless PPA and GPPA consent thereto; and/or
  • 13.1.2 to Article 13 shall be of any force or effect unless all affiliates consent thereto.

13.2 This Association may be dissolved, or merged with another association with similar purposes and objects, in each case only:

  • 13.2.1on a resolution passed by at least a 75% (Seventy Five Percent) majority of all votes cast by Affiliates present at a duly constituted Congress of Affiliates provided that notice of the proposed dissolution of merger has been duly given in terms of the notice calling the meeting; or
  • 13.2.2on an application to a Court of law by any affiliate on the grounds that the association has become dormant or is unable to fulfil it’s purposes and objects.

On merger, the assets of the association shall accrue to the association with which the merger is effected.

On dissolution the assets of the association shall be realised and transferred to an association or club having similar objects and purposes or failing such a body then to such registered charitable or sporting institution or body as the Trustees may decide upon.

Article 14:

14.INTERIM MATTERS

In recognition of the fact that this Constitution effectively unifies organised cycling throughout the Republic of South Africa under one umbrella body, being CYCLING SOUTH AFRICA, Pedal Power Association and GPPA and the affiliates of what was formerly the South African Cycling Federation have agreed that the following interim measures shall apply immediately with effect from the effective date of this Constitution:

14.1 The following shall hold office:

  • 14.1.1 the President of CYCLING SOUTH AFRICA shall be the incumbent President of the S.A.C.F. as at the effective date hereof;
  • 14.1.2 the Vice-President shall be an appointee of Pedal Power Association until the Statutory Congress in 2008 save that, this right of appointment, shall be suspended during this period for the duration that a person nominated by PPA becomes the President of CYCLING SOUTH AFRICA;
  • 14.1.3 the Board of Trustees shall appoint the Financial Trustee;
  • 14.1.4 the Chairpersons of the Commissions (other than the Recreation Commission) as at the effective date hereof shall continue to hold these positions and be Trustees of the Board;
  • 14.1.5 the President may nominate one of the two additional Trustees to the Board should he so elect;
  • 14.1.6 PPA may nominate the second of the two additional Trustees to the Board should it so elect; until the Statutory Congress to take place in 2006 at which elections shall take place; all these aforementioned persons shall stand down but shall be eligible for re-election for subsequent terms of office.

14.2 With regard to the Recreational Commission:

  • 14.2.1 the Chairperson shall be a PPA appointee until the Statutory Congress in 2008;
  • 14.2.2 GPPA shall have the right to appoint 1 (ONE) of the Commissioners until the Statutory Congress in 2008;
  • 14.2.3 The remaining Commissioners shall be appointed by PPA in consultation with GPPA and any other recreational affiliates until the Statutory Congress in 2008.

Article 15:

15.INTERNAL REGULATIONS

15.1 CONGRESSES:

  • 15.1.1 The Board shall be responsible for arranging all Congresses.
  • 15.1.2 Notices of Congresses and their Agendas shall be posted to all affiliates and Office Bearers, all Trustees and Commissioners at least 21 (Twenty-One) days before each Congress save that the notice period for a Statutory Congress shall be 30 (Thirty) days.
  • 15.1.3 The Board and all members shall have the right to submit proposed resolutions, fully motivated as Agenda items at any Statutory Congress provided that they are submitted in writing to the Association not later than the 31st January. In the case of proposed amendments to the Constitution or any rules or regulations, the clause or article number or rule number must be stated.
  • 15.1.4 If so required by the Board of Trustees, by no later than 14 (Fourteen) days prior to any Congress, every member shall certify in writing the number of votes which its delegate will claim for the purposes of voting at that Congress. This certificate shall be subject to the right of CYCLING SOUTH AFRICA to challenge any certificate and call for an audit thereof. The Board may from time to time prescribe audit measures and what information shall be supplied by affiliates when delivering its aforesaid certificate.
  • 15.1.5 The President shall preside at all Congresses or failing him, the Vice-President.
  • 15.1.6 Delegates of members shall be Committee members of the Executive of the member concerned, save on good cause shown. Before the commencement of any Congress, each member shall lodge with the Association, in writing, the names of its delegate entitled to vote.
  • 15.1.7 Deleted.
  • 15.1.8 Voting at Congresses shall be by way of a show of hands unless immediately before or after any vote a delegate requests a secret ballot, in which event voting will take place by way of secret ballot. A vote on a show of hands shall bind Congress unless a secret ballot has been calledfor in which event the outcome of the secret ballot shall bind Congress.
  • 15.1.9 In voting on a proposition or resolution, any amendment or amendments shall be voted on first, starting from the last, then on the final proposition amended.
  • 15.1.10 Congresses other than Statutory Congresses may be convened at any time by the Board. Any member may cause the Board to convene a Congress for the purposes of passing a resolution fully motivated in writing.

15.2 NOMINATIONS AND ELECTIONS OF OFFICE BEARERS, TRUSTEES AND COMMISSIONERS:

  • 15.2.1Each member may nominate Office Bearers; Trustees and Commissioners.
  • 15.2.2The Board may nominate Commissioners.
  • 15.2.3Only members may elect Office Bearers; Trustees and Commissioners.
  • 15.2.4Elections of Commissioners, Trustees and Office Bearers may take place in such order as the Board of Trustees recommend save unless the particular Congress resolves otherwise.
  • 15.2.5Subject to Article 14, all appointments may be terminated by simple majority of Congress at any time and Congress shall have the right to strike out any nomination prior to appointment, by simple majority. On termination of any appointment for any reason, the position shall be filled as follows:
    • 15.2.5.1 President to be replaced by Vice-President;
    • 15.2.5.2 Vice-President to be appointed by Board;
    • 15.2.5.3 Financial Trustee to be replaced by Board;
    • 15.2.5.4 Any Trustee or Commissioner including any selector to be replaced by Board

15.3 FINANCIAL:

  • 15.3.1 The financial year end of the Association shall be the 31st December in any year.
  • 15.3.2 The Board of Trustees shall open and operate all banking and other financial accounts.
  • 15.3.3 All affiliates shall lodge copies of their Constitution as amended from time to time. Any amendments shall be subject to the approval of CYCLING SOUTH AFRICA which shall not be unreasonably withheld. Affiliates shall register their official colours with CYCLING SOUTH AFRICA.
  • 15.3.4 Notices of and the Minutes of all Annual General Meetings and Special General Meetings of affiliates shall be forwarded to CYCLING SOUTH AFRICA as and when they take place.

15.4 HONORARIA:

The Association through its Congresses shall be entitled to grant bona fide honoraria to deserving candidates at Statutory Congresses and otherwise as it deems fit.

15.5 PRESIDENT:

  • 15.5.1 The President may preside at all meetings of Trustees and at all Congresses, or failing him the Vice-President or a Trustee appointed by the Board.
  • 15.5.2 The President shall be entitled to represent the Association and speak on its behalf or a nominated member of the Board or the Chief Executive should the Board so stipulate.
  • 15.5.3 All Press statements or releases on policy; the release of names of selected teams and other matters of a major nature shall only be made with the prior approval of the Board and by such persons as it shall nominate (and failing nomination, the President).

15.6 SECRETARY:

  • 15.6.1 The Board shall appoint a General Secretary to assist the Board, the Chief Executive Officer and the Financial Trustee. The General Secretary shall be responsible for causing Minutes of meetings to be taken, recorded and distributed and for the drafting of Agendas and all notices convening meetings.
  • 15.6.2 The General Secretary shall elect, collate and distribute all correspondence addressed to the Association.

Article 16:

16. LICENSING AND REGISTRATION

16.1 All cyclists who are members of affiliates or members, directly or indirectly through clubs shall be registered with CYCLING SOUTH AFRICA which shall be entitled to use these membership details for the purposes of promoting and administering cycling save that all intellectual property rights, including copyright in membership lists shall vest in the member or affiliate from whence they originated and such lists may only be used for commercial purposes with the prior consent of the member/affiliate concerned and upon such terms and conditions as to remuneration or otherwise as the member/affiliate may stipulate.

16.2 Cyclists may only take part in the undermentioned events provided that they are licensed with CYCLING SOUTH AFRICA, to do so:

  • 16.2.1 international events which in accordance with UCI rules, require the participant to have a CSA licence;
  • 16.2.2 national and provincial championships on road or track;
  • 16.2.3 any event which Congress resolves shall be open only to licensed riders;
  • 16.2.4 stage races or single day events recognised by the UCI on a points basis.

16.3 Cyclists who are registered with members and/or affiliates of CYCLING SOUTH AFRICA and/or cyclists who are not so registered but permitted by these bodies to do so, may take part in any cycling event of any kind other than those detailed in 16.2, be same competitive, recreational or otherwise without being licensed with CYCLING SOUTH AFRICA.

16.4 Cyclists who are licensed with CYCLING SOUTH AFRICA may only take part in events mentioned in Article 16.2 above upon the terms and conditions contained in their licences. In all other events, licensed cyclists shall be free to participate subject only to the terms and conditions laid down for the particular event in question.

Article 17:

17. EVENTS

CYCLING SOUTH AFRICA shall be entitled itself or by way of joint venture with any of its affiliates or any third parties to organise or cause to be organised on its behalf any event, anywhere within the Republic of South Africa provided that same does not cause unreasonable prejudice to the affairs of any of its affiliates. Disputes arising in this regard shall be resolved in accordance with what is in the best interests of cycling and a resolution of congress shall bind all parties to the dispute.

Article 18:

18. NATIONAL CHAMPIONSHIPS

18.1 The National Track, Road, MTB and BMX Championships shall be staged annually. The nature and number of events and awards, shall be laid down in the rules of racing, and may, if deemed necessary, be added to, or amended at the statutory congress provided notice of such additions or amendments shall have been submitted to the Chief Executive Officer at least 6 (Six) weeks before the statutory congress. A basic programme and order of events shall be set out in the rules of racing and these may be altered by the Board of Trustees on congress to suit local conditions upon application by the organising body.

18.2 The Championships may be staged by the affiliates. Applications, 2 (Two) years in advance, shall be considered at the statutory congress and must be submitted to the Chief Executive Officer of CYCLING SOUTH AFRICA at least 6 (Six) weeks before the statutory congress. An affiliate will not be permitted to stage any National Championship unless, in the view of the Executive at its sole discretion, the affiliate has the necessary infrastructure to do so.

18.3 The President Commissaire, Starter, Chief Judge and Chief Timekeeper for the Championships shall be appointed by the National Cycling Officials Board. Affiliates may submit their recommendations to the Board at least 4 (Four) weeks before the Championships in this respect.

18.4 The profits accrued from the Championships shall be divided as follows:

  • 18.4.1 30% (Thirty Percent) - Organising Body;
  • 18.4.2 70% (Seventy Percent) – CYCLING SOUTH AFRICA

18.5 The National Championships shall be open to licensed riders only, subject further to such rules for qualifications, which may be prescribed from time to time by the Technical Commission.

18.6 The National Track Championships shall be held at times and venues stipulated by the Board from time to time, in its discretion subject to the rules of the UCI.

18.7 The National Road Championships shall be held at times and venues stipulated by the Board from time to time, in its discretion, subject to the rules of the UCI.

Article 19:

19. COLOURS

19.1 FULL COLOURS

  • 19.1.1 Full colours will be awarded to competitive members in good standing with CYCLING SOUTH AFRICA and selected to represent South Africa under the following conditions:
    • 19.1.1.1as members of a South African Team at the Olympic Games or World Championships;
    • 19.1.1.2as members of an official team selected to represent South Africa in International Cycling competition;
    • 19.1.1.3as members selected by the national Selection Committee to compete in an International event as individuals, and if on completion of such an event, individual performance warrants recommendation by the Board of Trustees for full colours.
  • 19.1.2 A Manager and/or Trainer selected for a representative team by the Board of Trustees, may be awarded full colours.

19.2 HALF COLOURS

  • 19.2.1 Half colours will be awarded to riders in good standing with the Federation and selected to represent CYCLING SOUTH AFRICA in any competition not eligible for full colours.
  • 19.2.2 Half colours surrounded by a laurel wreath could be awarded to non-competitive persons recommended to Congress by the Board of Trustees.

19.3 JUNIOR COLOURS

Junior colours will be awarded to riders in good standing with CYCLING SOUTH AFRICA and selected to represent CYCLING SOUTH AFRICA in Junior competition.

Article 20:

20. DEFINITION OF COLOURS

20.1 FULL COLOURS of CYCLING SOUTH AFRICA shall be:

  • 20.1.1 racing jerseys/skinsuits – for all catgories, i.e. Seniors, Juniors, Ladies, Veterans and Professionals;
  • The official colours of clothing when representing South Africa will be green and gold.
  • 20.1.2 racing shorts – standard type, black;
  • 20.1.3 blazer – leaf green with official badge on breast pocket;
  • 20.1.4 tie – leaf green with Protea emblem;
  • 20.1.5 sweat suit – standard type in leaf green with 38mm words "South Africa – Suid Afrika" across the back in gold;
  • 20.1.6badge – the design of the badge shall be a Giant Protea worked in gold on a leaf green background with the words "Cycling" and those indicating the occasion and nature of the award worked in a gold coloured thread thereon. The recipient of the badge shall have the choice of language.
    The badge shall only be worn by those persons awarded the honour by CYCLING SOUTH AFRICA in terms of this Constitution and Internal Regulations, and the Statutory Congress shall be empowered to withdraw the right to wear the badge from any person in the event of such person bringing the badge to disrepute.

20.2 HALF COLOURS of CYCLING SOUTH AFRICA shall be:

  • 20.2.1 racing jerseys/skinsuits – for all categories, i.e. Seniors, Juniors, Ladies, Veterans and Professionals;
  • The official colours of clothing when representing South Africa will be green and gold.
  • On the left breast will be the emblem of CYCLING SOUTH AFRICA as on CYCLING SOUTH AFRICA's letterhead.
  • 20.2.2 standard racing shorts – black;
  • 20.2.3 blazer – leaf green with official badge on breast pocket;
  • 20.2.4 tie – leaf green;
  • 20.2.5 for competitive cyclists the design of the badge will be the emblem of CYCLING SOUTH AFRICA. For the award to non-competitive persons as set out in Art. 51(2)(b) the words "CSA Cycling" or "CSA Fietsry" with the choice of language by the recipient thereon.

20.3 JUNIOR COLOURS of CYCLING SOUTH AFRICA shall be:

  • 20.3.1racing jersey – standard type, gold with green cuffs and neckband, and 38 mm words CSA in green across the back;
  • 20.3.2standard racing shorts in black;
  • 20.3.3blazer – dark blue with official badge on breast pocket;
  • 20.3.4tie – dark blue;
  • 20.3.5badge – the design of the badge shall be a Protea in silver colour on a dark blue background. The words "Cycling" in S.A. in silver thread. The recipient will have the choice of language.

Article 21:

21. HEADQUARTERS

The headquarters for CYCLING SOUTH AFRICA shall be decided by the Board of Trustees from time to time.

Article 22:

22. HONOURS FOR SERVICE AWARD

22.1 The Honours for Service Award Badge may be awarded to persons who have rendered meritorious service to South African Cycling for at least 10 (Ten) years. The design of the badge shall be the emblem of the SACF surrounded by a laurel wreath, on a green background with the words "CSA Cycling/CSA Fietsry".

22.2 Nominations for award accompanied by service records, must be submitted by the Provincial Bodies to reach the Chief Executive Officer on or before 31st December of each year, for onward submissions to the honours for Service Sub-Committee.

22.3 The Sub-Committees will consider all nominations and submit their recommendations to the Board of Trustees, and provided the Board of Trustees agrees to the Sub-Committee's recommendation they shall submit same to the Statutory Congress for endorsement.

22.4 The number of Honours for Service Awards shall be limited to a maximum of 2 (Two) annually.

22.5 The Honours for Service Sub-Committees shall consist of 3 (Three) persons who have had lengthy service in the affairs of CYCLING SOUTH AFRICA and preferably be holders of the award.

22.6 The Honours for Service Award Sub-Committee will be elected at the Statutory Congress and nominations must reach CYCLING SOUTH AFRICA's Secretary not less than 30 (Thirty) days prior to the Statutory Congress for inclusion on the Agenda.

22.7 Members shall be elected to this Sub-Committee for a period of 3 (Three) years, with 1 (One) member retiring each year.

22.8 In the event of a vacancy occurring on this Sub-Committee at any time, such vacancy may be filled by a person appointed by the Board of Trustees and his term of office shall be that of the Committee member replaced.

Article 23:

23. LIFE MEMBERSHIP

23.1 Life membership may be granted at the Statutory Congress to persons who have rendered exceptional services to cycling for at least 15 (Fifteen) years.

23.2 The number of life members shall be limited to 10 (Ten) at any one time.

23.3Nominations shall be submitted to the Chief Executive Officer of CYCLING SOUTH AFRICA by the Affiliates together with records of the service, at least 4 (Fou r) weeks before the Statutory Congress. (50 copies).

23.4 The voting for Life Membership at the Statutory Congress shall be by secret ballot. The majority of votes shall be binding.

23.5 Life Members shall not, by virtue of their membership, be entitled to vote at any meeting of CYCLING SOUTH AFRICA.

Article 24:

24. REGISTRATION OF COMPETITION OFFICIALS

  • 24.1 All competition officials shall be registered by CYCLING SOUTH AFRICA, application shall be made in writing through it's Affiliates.
  • 24.2 Prior to registration as qualified competition officials, applicants shall serve a probationary period as prescribed in the rules of racing and thereafter appointed in terms of rules 6 and 7 of Part 2 of the Rules and Regulations.
  • 24.3 Persons not registered, as competition officials may not officiate in competition staged under the rules of racing of CYCLING SOUTH AFRICA.

Article 25:

25. SUB-COMMITTEES

The Board of Trustees may from time to time at their discretion appoint Sub-Committees and delegate to them all or part of the powers vested in them by this Constitution, and may at any time add to, vary or rescind the powers of those Sub-Committees. The Congresses may also appoint Sub-Committees to consider and report on, or take action upon, any questions referred to them.

Article 26:

26. SELECTION COMMITTEE

26.1 The Selection Committee shall be the sole body with the authority to elect teams to represent CYCLING SOUTH AFRICA in International Cycling Competition.

26.2 No active Junior: Under 23 or Elite cyclist may be elected to the position of National Selector.

26.3 Selectors will report to the Commission Board who in turn will report to the Board of Trustees.

26.4 The Selection Committee shall if so desired, set standard times for basis of selection.

26.5 The Board of Trustees shall elect the Administration Officers of any teams, e.g. Delegate; Manager; Masseur; Mechanic.

26.6 The Board of Trustees may appoint a Fund Raising Sub‑Committee for each project.

26.7 The expenses incurred by the Selectors in the execution of their duties may, at the discretion of the Board be paid by CYCLING SOUTH AFRICA.

Article 27:

27. SUSPENSIONS AND APPEALS

27.1Affiliates shall only have the right to suspend any party under their jurisdiction for any wilful disregard of the Rules of Racing or unbecoming or offensive behaviour for a maximum of 6 (Six) weeks.

Any longer period can only be enforced after submission of all the facts to the Board of Trustees or Congress and receiving their approval thereof. A suspended cyclist shall have his current licence endorsed to that effect by the Secretary of the Association concerned.

27.2 The Board of Trustees or Congress shall have the power to suspend or fine any Affiliate which fails to supply it with valid information required in the general business interests of CYCLING SOUTH AFRICA within a reasonable period of request. For this purpose a reasonable period shall be deemed 60 (Sixty) days from the date of request, except where business requires an immediate reply.

27.3 The Board of Trustees or Congress shall be empowered to suspend or fine any party who shall act in a manner which may be detrimental to CYCLING SOUTH AFRICA or who is responsible for the release of reports tot he Press which may have an adverse effect on CYCLING SOUTH AFRICA.

27.4 Any suspension for a period of more than 1 (One) year must be endorsed by the first Statutory Congress held after the suspension comes into effect.

27.5 Any party under suspension shall be denied the rights and privileges granted to members of CYCLING SOUTH AFRICA in terms of this Constitution until such a time as they are reinstated.

27.6 The Statutory Congress or the Board of Trustees shall be empowered to consider any appeal against suspension and to reinstate at their discretion the party under suspension, provided such reinstatement is recommended by the Affiliate concerned.

Article 28:

28. NATIONAL CLASSICS

Final dates for acceptance of applications for events to be included on the National Classic Calendar shall be the first day of July of the preceding year. Such applications shall be in writing on a standard form supplied by CYCLING SOUTH AFRICA and shall be accompanied by a fee to be determined annually by the Board of Trustees of CYCLING SOUTH AFRICA and a recommendation from the centre under whose jurisdiction the event falls:

28.1 must be with approval of the Affiliates concerned;

28.2 private promoters must also apply to the centre concerned - the Affiliates shall not be unreasonable in approving Promoters dates;

28.3 the Affiliates shall meet with the Commissions at the end of July each year to draw up the racing programme for that year.

28.4 The Commissions shall be responsible for the drawing up of the finalized list and shall negotiate with the applicants when necessary to produce a balanced programme of events not later than the first day of November annually. Once the programme has been approved, no changes or additions to the programme will be permitted unless approved by the President on recommendations by the Director of Racing.

Article 29:

29. NATIONAL CLASSIC PRIZE FUND

The minimum prize fund for single and multiple day National Classic events shall be R25 000,00 (Twenty Five Thousand Rand) save unless the Board from time to time stipulates otherwise.
